Sample Sales Agreement
This Sales Agreement (the "Agreement") is made and entered into as of [Date] by and between [Seller Name], with a principal place of business at [Seller Address] (the "Seller"), and [Buyer Name], with a principal place of business at [Buyer Address] (the "Buyer").
WITNESSETH
WHEREAS, Seller is in the business of [Seller Business] and owns and possesses certain goods (the "Goods"), more particularly described in Schedule A attached hereto and made a part hereof; and
WHEREAS, Buyer desires to purchase the Goods from Seller, and Seller desires to sell the Goods to Buyer, upon the terms and conditions hereinafter set forth.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. Sale and Purchase of Goods
Seller agrees to sell and Buyer agrees to purchase the Goods in accordance with the terms and conditions of this Agreement.
2. Delivery
Seller shall deliver the Goods to Buyer at [Delivery Location] on or before [Delivery Date].
3. Purchase Price
The purchase price for the Goods shall be [Price] (the "Purchase Price"). Buyer shall pay the Purchase Price to Seller within [Payment Term] of the delivery of the Goods.
4. Title and Risk of Loss

5. Warranty

6. Default
If either party breaches this Agreement, the non-breaching party shall have the right to terminate this Agreement and seek any and all remedies available at law or equity.
7. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
8. Governing Law

10. Severability
